2. Description of Service

Infile provides a document collection platform for CPAs, bookkeepers, and professional firms. Our service includes:

• Reusable checklist and request templates
• Passwordless client upload links and branded client-facing pages
• Automated client reminders and completion tracking
• Firm dashboards, exports, and team collaboration features
• Integrations and workflows that support your existing tools

3. User Accounts

To access certain features, you must create a firm account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update account information as needed
• Keep credentials secure and limit access to authorized team members
• Accept responsibility for activity under your account
• Notify us promptly of suspected unauthorized access

4. Acceptable Use

Your use of Infile is subject to our Acceptable Use Policy. You agree not to:

• Use the service for unlawful purposes or in violation of professional obligations
• Upload malicious code or attempt to disrupt platform security
• Access accounts, upload links, or data without authorization
• Send spam or unrelated bulk communications through the platform
• Misrepresent your identity or firm when contacting clients

5. Client Data and Privacy

Your use of Infile is governed by our Privacy Policy. You retain ownership of documents and data you and your clients submit. You are responsible for obtaining any notices or consents required before collecting client information through Infile. Where applicable, a Data Processing Agreement may apply when we process personal data on your firm's behalf.

6. Intellectual Property

The Infile platform, including its design, software, branding, and documentation, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works from the service except as expressly permitted.

7. Payment and Subscriptions

If you subscribe to a paid plan:

• You agree to pay applicable fees and taxes
• Subscriptions renew automatically unless cancelled before the renewal date
• We may change pricing with reasonable advance notice
• Refunds are covered by our Refund Policy

8. Service Availability

We strive to keep Infile available and reliable, but we do not guarantee uninterrupted access. Maintenance, updates, third-party outages, or events outside our reasonable control may cause temporary interruptions. We are not liable for losses resulting from service downtime except where prohibited by law.

9. Limitation of Liability

To the maximum extent permitted by law, Infile will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or business opportunities arising from your use of the service.

10. Indemnification

You agree to indemnify and hold harmless Infile and its officers, directors, employees, and agents from claims, damages, losses, liabilities, and expenses arising from your use of the service, your client collection practices, or your violation of these terms.

11. Termination

We may suspend or terminate access if you violate these terms or create risk for other users. You may terminate your account by contacting us. Upon termination, your right to use the service ends, subject to any data export or retention obligations described in our policies.

12. Changes to Terms

We may modify these terms from time to time. We will post updated terms on this page and update the effective date. Material changes may be communicated by email or in-product notice. Continued use after changes take effect constitutes acceptance.

13. Governing Law

These terms are governed by applicable law without regard to conflict-of-law principles, except where mandatory consumer protections in your jurisdiction provide otherwise.
